FAQ’s - Compliance, Licensing & Sales

  • Keeping up with hundreds of ever-changing rules and regulations can be overwhelmingly difficult and time-consuming. Outsourcing your compliance to CannXperts allows you to concentrate on running your business while we ensure you are operating compliantly.

CannXperts was founded by former state compliance regulators who have provided expert compliance consultation and services to hundreds of cannabis businesses and ancillary stakeholders since 2018. Our core service teams consist of License Managers, Compliance Officers, and Onsite Auditors who work together to ensure your business remains compliant with local, state, and federal rules and regulations. Our Compliance Officers and Auditors work onsite at your facility, actively participating in and regularly practicing standards established by ASTM International. They are continuously working to prepare our clients and stakeholders for the eventual commercialization of cannabis at the federal level.

  • This designation is given to those licensees who pass a compliance inspection with zero corrective action items, or who have completed the corrective action items as verified by a CannXperts Inspector.

For license sales, these licenses have gone through verification and determined to be “Ready to transfer” with no compliance holds by the overseeing regulatory authority. Additionally, CannXperts is authorized to sell the license on behalf of our client.

Compliance Audits have been a core service we provide to our clients since our inception in 2018 and are available to anyone in the industry for a fee by contacting compliance@cannxperts.com.

  • The prices for any of our marijuana license listings are 100% up to the seller. We provide guidance based on market trends and standard business valuation formulas, but ultimately it is the seller’s decision.

  • Yes. We have created several different options for selling your license or business, from posting a simple ad to full brokering. Please fill out the main contact form and check the box, “I am interested in listing on your website” or send us an email to sales@cannxperts.com.

  • CannXperts offers a Finder Fee Program (the “Program”) that allows program members to earn a commission (a “Finder Fee”) by identifying a Qualified Buyer for CannXperts asset sales listings, if the Qualified Buyer completes a transaction resulting in CannXperts receiving its Seller support commission.

The Finder Fee will total one percent (1%) of the final sales transaction and will be paid within 30 days to the Program member, by check, when the transaction between the Buyer and Seller is complete and CannXperts receives its Seller support commission.

    EXAMPLE:

Final sales price $100,000.00 in closed transaction; Finder Fee of $1,000.00.

Final sales price $2,500,000.00 in closed transaction; Finder Fee of $25,000.00.

PROCESS: Anyone desiring to participate in the Program must first fill out the form at the bottom of this page. Each applicant must sign CannXperts’ Independent Contractor Agreement prior to being fully accepted into and participating in the Program.

Members will participate as Independent Contractors and will receive an annual 1099 tax form from CannXperts if they earn any Finder Fee commission through the Program.

Once accepted into the program, Members will receive instructions on how to use buyer information and qualifying forms.

  • No, you are free to list with other services and brokers.

We started this service in order to serve our clients who wanted out of the industry and needed to sell quickly. Our focus is and always has been to help them, not lock them into a contract. If someone else is able to sell your business faster than we can, then we’ll be the first to congratulate you!

  • We are looking for “Qualified Buyers” to purchase our listed licenses. These buyers should be interested in purchasing the license right away and also have the funds to purchase. Buyers do not necessarily have to have 100% of the purchase price, but should be willing to make a reasonable offer or make an offer with terms (50% down and $X per month for X months). We will present any offers received to our sellers for consideration. Buyers should also be able to present an approved Land Use Compatibility Statement for the new location (for the type of License they are buying).

  • If you are interested in purchasing a business or license we are selling, please contact sales@cannxperts.com. We will work with you to get the appropriate agreements in place, refer to escrow services as well as do all of the required paperwork and compliance inspections, if you wish. We work very closely with the OLCC and have processed more change of ownerships than anyone in the state.

  • While using escrow isn’t mandatory, there are a couple of reasons why we recommend using escrow:

    1. If you give money to a current license holder it may create a financial interest in their business. If this is not disclosed properly, it could lead to a compliance event resulting in fines, suspensions or license revocation for the seller.

    2. Using escrow will ensure that money is not paid out until all conditions of the purchase agreement have been satisfied. This protects both the buyer and the seller.

  • Yes. CannXperts holds a Real Estate Marketing Organization license and is therefore authorized to advertise real estate for sale or lease. We utilize real estate attorneys, cannabis-friendly escrow agents and title companies to finalize all real estate transactions.

Licensed real estate agents and brokers may also utilize our services for marketing their listings to the cannabis community.
